Disruptive Pharma sells GTX platform, retains future royalty and milestone rights

Disruptive Pharma AB (publ) has agreed to sell the GTX platform to a wholly owned subsidiary of Aurelia Invest AB while retaining rights to future royalty and milestone payments linked to the platform’s continued development.

GTX platform: assets and deal terms

The GTX platform comprises therapeutic peptides based on the endogenous protein alpha-1-microglobulin (A1M), including the lead candidate GTX-86, together with related intellectual property rights and other relevant assets. Under the agreement, all rights and assets related to GTX will be transferred to the Aurelia subsidiary.

Consideration for the transaction consists of a modest upfront cash payment that Disruptive Pharma describes as not financially material, plus the right to future performance‑based payments tied to development milestones. Those milestones include first dosing in humans, first dosing in a pivotal registration-enabling study, and first marketing approval. Disruptive Pharma will also be entitled to royalties and a share of any proceeds from a future sale or out-licensing of the GTX platform.

The Board of Directors says the structure lets shareholders continue to participate in future value creation from GTX while removing future development costs from the company’s operations.

Focus on Formulite® and company background

Disruptive Pharma said the GTX platform was deemed to fall outside the company’s future business focus following the reverse takeover of Disruptive Pharma Holding AB. The transaction enables Disruptive Pharma to focus resources on Formulite®, its patented formulation technology based on mesoporous magnesium carbonate (MMC), designed to improve solubility and oral bioavailability of pharmaceutical compounds.

Disruptive Pharma operates through contract development, partnerships and licensing arrangements to develop and commercialize drug products optimized with Formulite®.
